ADT acquisition: Thrive Holdings to take the alarm company private
Thrive Holdings agreed on October 29 to buy ADT for $10 a share in cash, a $15.3 billion deal. What the ADT acquisition means for guard companies.

Thrive Holdings has agreed to buy ADT for $10 a share in cash, a deal that values the home security company at about $15.3 billion including debt, ADT announced on October 29. Once it closes, ADT will be privately held and its shares will stop trading on the New York Stock Exchange.
Key points#
- The price is a 45.6% premium to ADT's unaffected closing price on October 27, the company said.
- Funds managed by affiliates of Apollo Global Management are providing the financing, according to the announcement.
- The deal needs approval from ADT stockholders and U.S. antitrust regulators, and is expected to close in the first quarter of 2027, ADT said.
- ADT may look for better offers until November 28, Security Info Watch reported.
Who is buying#
Thrive Holdings was set up by Thrive Capital, the firm founded by Joshua Kushner, as a permanent capital vehicle that can hold businesses longer than a typical private equity firm, The Next Web reported. It owns more than 75 businesses in accounting, IT services and the built environment, and OpenAI is a partner and investor, the outlet said, citing TechCrunch.
ADT will become the foundation of Thrive Holdings' smart home security business, the announcement said. The release describes ADT as serving residential and small business customers in the United States, with more than 12,000 employees.
What changes for ADT#
ADT serves more than six million customers and runs what the trade outlet called the largest professional security monitoring network in the country, Security Info Watch reported. ADT earlier sold its full commercial business, and its focus today is residential, the outlet said.
Thrive says new technology could cut false alarms, make alerts more informative and find faulty equipment earlier, The Next Web reported. Neither company has announced new products, the outlet added.
ADT said its data and privacy policies will not change, and that no new data sharing will happen without customer permission, according to the release.
A second large bet on security#
The deal follows reports that SoftBank was in preliminary talks to buy security services company Allied Universal, with no binding agreement announced, Security Info Watch reported on October 19. Both stories tie a security business to buyers with large plans for AI.
What it means for your company#
- Expect questions about technology. Clients who read about smarter alarms will ask what your officers record and how fast they hear about it.
- Make your proof easy to see. Clear incident reports and regular client reports show what an officer on site adds to a camera or a sensor.
- Know your alarm partners. If you respond to alarms for a monitoring company, keep your contacts, response rules and contract terms current.
- Read change of control terms. When a client or partner is sold, ask an attorney how your contract handles a new owner.
Guardix lets guard companies email each client a daily, weekly or monthly report with hours worked, incidents by category and completed patrol tours.
